Terms of Use

2.1 To use the Platform, you must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction, whichever is higher. We verify age through user-reported information at registration and reserve the right to conduct age verification at any time during your use of the Platform.

2.2 By accessing or using the Platform, you confirm that you have the legal capacity and authority to enter into a binding agreement with Kinimi Corporation and to comply fully with these Terms, as well as with all applicable laws, regulations, and rules in your jurisdiction.

2.3 If you are accessing or using the Platform on behalf of a business, organisation, or other legal entity, you further represent and warrant that you have the full right, power, and authority to bind that entity to these Terms, and that all actions you take on the Platform will be deemed to be authorised by and attributable to that entity.

2.4 Use of the Platform is strictly prohibited where it would be unlawful under applicable laws. This includes, but is not limited to, jurisdictions with sanctions imposed by the Office of Foreign Assets Control (OFAC) or other similar regulatory bodies. Kinimi Corporation reserves the right to refuse access to any user who does not meet these eligibility requirements or whose access would violate applicable laws.

3.1 To access certain features and functionalities of the Platform, including but not limited to uploading or streaming content, making or receiving payments, and participating in interactive features such as chat or comments, you will be required to create a user account.

3.2 When registering for an account, you agree to provide accurate, current, and complete information as requested, and to promptly update such information if it changes. We may verify information provided and remove or suspend accounts with false, misleading, or incomplete information.

3.3 You are solely responsible for maintaining the confidentiality and security of your login credentials, and for all activities that occur under your account, whether or not authorised by you. You agree not to share your account credentials with any other person or entity.

3.4 You must take reasonable steps to protect your account from unauthorised access, including safeguarding your password and using secure devices and networks. Kinimi Corporation implements industry-standard encryption and security protocols but does not guarantee absolute security against all threats.

3.5 If you become aware of or suspect any unauthorised use of your account, or any other breach of security, you must notify us immediately at care@hiffi.com so that we can take appropriate action. We will notify users of data breaches in accordance with the breach notification requirements of applicable state laws.

3.6 We reserve the right, at its sole discretion, to suspend, restrict, or terminate your account if:

• any information provided is false, misleading, or incomplete;
• if your account is misused in any way;
• if you fail to comply with these Terms or applicable laws;
• We have reasonable grounds to believe you are engaged in illegal activity;
• You have violated our Acceptable Use Policy.

We will provide notice of termination except in cases of emergency or repeat violations, in which case we may terminate immediately.

5.1 By using the Platform, you agree to behave lawfully, respectfully, and in a manner consistent with these Terms, applicable laws, and community standards. You understand that Kinimi Corporation does not pre-screen user content and is not responsible for content uploaded by other users. Without limiting the generality of the foregoing, you expressly agree not to upload, post, transmit, stream, or otherwise make available through the Platform any content or engage in any activity that:

• Illegal content: Contains any material that violates federal, state, or local laws or regulations of the United States or any other jurisdiction, including but not limited to laws prohibiting obscenity, child sexual abuse material (CSAM), or defamation; or Infringes on the intellectual property rights (including copyrights, trademarks, patents) of any third party (this includes music, videos, images, or other protected content used without proper licensing or permission); or violates any statute, regulation, ordinance, or rule pertaining to the importation, exportation, or use of controlled substances.
• Unlawful or Harmful Content: Contains any material that is false, misleading, defamatory, libellous, obscene, pornographic, sexually explicit, or otherwise offensive in nature, including but not limited to content involving nudity, sexual acts, sexual exploitation, or depictions of sexual activity; involves, depicts, or encourages child sexual abuse or exploitation (CSAM/CSAE). ANY SUCH CONTENT WILL BE IMMEDIATELY REPORTED TO THE NATIONAL CENTER FOR MISSING & EXPLOITED CHILDREN (NCMEC) AND LAW ENFORCEMENT AUTHORITIES; constitutes harassment, bullying, cyberstalking, or threatening behavior toward any individual or group; incites violence, hatred, or discrimination based on protected characteristics including race, ethnicity, national origin, religion, caste, sexual orientation, gender identity, disability, or veteran status; or promotes self-harm, suicide, or eating disorders.
• Sexually Exploitative or Abusive Content: Promotes, depicts, or facilitates sexual exploitation, non-consensual sexual acts, sexual violence, incest, bestiality, or any content that sexualises minors. Such content is illegal in most jurisdictions and is strictly forbidden on the Platform.
• Hate Speech and Threats: Promotes hatred, discrimination, harassment, abuse, or violence against any person or group based on race, ethnicity, nationality, religion, disability, gender, gender identity, sexual orientation, or any other protected characteristic under applicable laws.
• Intellectual Property Infringement: Uses copyrighted music, videos, images, or other protected content without proper licensing or fair use justification. You are solely responsible for obtaining all necessary licenses and permissions. Kinimi Private Limited will respond to DMCA notices by removing allegedly infringing content; or uses trademarks, brand names, or logos without authorization.
• Privacy Violations: Discloses personal or confidential information of any individual without their consent, including but not limited to names, contact details, identification numbers, or financial information.
• Fraudulent or Deceptive Practices: Engages in scams, impersonation, misrepresentation, or any scheme intended to defraud users, artists, ours, or third parties.
• Malicious or Disruptive Behaviour: Transmits viruses, malware, spyware, or any other harmful code; interferes with, disrupts, or degrades the performance or security of the Platform; engages in automated scrapers, bots, or any other method to access the Platform without authorization.

6.1 Audience members may choose to support artists through voluntary payments, tips, or subscriptions. All transactions are final and non-refundable, except where required by law.

6.2 Kinimi Corporation facilitates payment processing through third-party providers. We deduct a platform service fee (as specified on our pricing page) from each transaction before disbursing the remainder to the artist.

6.3 Artists are responsible for all taxes, duties, and government assessments related to their earnings on the Platform. US-based artists must provide necessary tax documentation (W-9 form) if their annual earnings exceed $600.

7.1 Kinimi Corporation respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA).

7.2 If you believe that your copyrighted work has been infringed on the Platform, please submit a formal notification to our designated Copyright Agent at care@hiffi.com.

7.3 Your notice must include:

• Your physical or electronic signature.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the infringing material and its location on the Platform.
• Your contact information (address, phone number, and email address).
• A statement under penalty of perjury that you have a good faith belief that the use is not authorized.
• A statement that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

7.4 If your content was removed pursuant to a DMCA notice, you may submit a counter-notice if you believe the removal was made in error or that you have authorization to use the content. Your counter-notice must include:

• Your physical or electronic signature.
• Identification of the content that was removed.
• A statement under penalty of perjury that you have a good faith belief that removal was erroneous.
• Your contact information.
• A statement that you consent to jurisdiction of the U.S. District Court in the district where you reside.

We will restore the content within 10-14 business days unless we receive notice that legal action has been filed.

7.5 Kinimi Corporation maintains a policy of terminating the accounts of users who are found to be repeat copyright infringers. Users who receive multiple DMCA takedown notices will have their accounts suspended or terminated.

The Platform may display content or links from third-party sources, including embedded social media, external websites, and third-party services. Kinimi Corporation:

• Does not endorse or assume responsibility for the content, accuracy, reliability, or practices of third parties.
• Is not responsible for damages or losses resulting from your use of third-party content or services.
• Recommends that you review the terms of service and privacy policies of any third-party services you access through the Platform.

If you authorize the Platform to integrate with third-party services (e.g., social media accounts, payment processors), you authorize the sharing of necessary information with those services in accordance with their terms and our Privacy Policy. You are responsible for reviewing and accepting the terms of any third-party service.

You agree to indemnify, defend, and hold harmless Kinimi Corporation, its owners, operators, employees, agents, and representatives from and against all claims, damages, losses, expenses (including reasonable attorneys' fees), and liabilities arising out of or related to:

• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any intellectual property right
• Your content or conduct on the Platform
• Any harm caused by content you upload, stream, or share
• Your use or misuse of the Platform

IN NO EVENT SHALL KINIMI CORPORATION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).

The maximum liability of Kinimi Corporation under these Terms shall not exceed the total amount you have paid to Kinimi Corporation in the 12 months preceding the claim, or $100 USD, whichever is less.

These Terms are governed by and construed in accordance with the laws of the United States, specifically the laws of Delaware, without regard to its conflict of law principles.

EXCEPT FOR CLAIMS THAT CANNOT BE ARBITRATED BY LAW, YOU AND KINIMI CORPORATION AGREE THAT ANY DISPUTE OR CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF THE PLATFORM SHALL BE RESOLVED BY BINDING ARBITRATION RATHER THAN IN COURT.

Arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and shall take place in Delaware. Each party shall bear its own attorneys' fees and costs, with arbitration fees split equally unless the arbitrator determines otherwise.

You agree that arbitration shall be conducted on an individual basis and not as a class action, collective action, or representative action. You waive the right to participate in class actions or collective proceedings.

The following matters are excluded from arbitration and may be brought in court:

• Disputes regarding intellectual property rights
• Claims for injunctive or equitable relief
• Claims that cannot be arbitrated under applicable law

Notwithstanding the arbitration provision, Kinimi Corporation may seek injunctive relief in court for any violation of these Terms or to prevent irreparable harm.

Americans with Disabilities Act (ADA) Compliance: Kinimi Corporation is committed to making our Platform accessible to individuals with disabilities in compliance with the Americans with Disabilities Act (ADA) and Section 508 of the Rehabilitation Act. If you experience accessibility issues, please contact us at care@hiffi.com so we can work to address them.

Video Captioning: Videos uploaded by users should include captions or transcripts to ensure accessibility for deaf and hard of hearing users. We may provide guidance on captioning standards.

We may terminate or suspend your account and access to the Platform at any time, with or without cause, and with or without notice, if:

• You violate these Terms or any applicable law.
• You engage in unauthorized or unlawful activity.
• Your account appears to be compromised or involved in fraudulent activity.
• We determine, at our sole discretion, that your continued access poses a risk to our users or the Platform.

You may close your account at any time by contacting us at care@hiffi.com. Upon termination, we will remove your profile and content from public view, though backups may be retained for legal compliance purposes.

Upon termination:

• Your right to use the Platform immediately ceases.
• Any outstanding payments or obligations remain due.
• Sections regarding intellectual property, liability disclaimers, and indemnification survive termination.
• Content you have uploaded may continue to be hosted if licensed to the Platform, except for content that must be removed by law.
